Wyapy End-User License Agreement (EULA)

This End-User License Agreement (“Agreement” or “Terms”) is between you (the business or individual accepting these Terms) and Wyapy (a service provided by Teketik, “Wyapy,” “we,” “us,” or “our”). This Agreement governs your use of Wyapy’s software application(s), website(s), and related services (together, the “App” or “Services”).

By clicking “Accept” or otherwise accessing, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not access or use the App.

1. The App and License

1.1 The App provides businesses with tools to collect, analyze, and manage customer satisfaction surveys and related analytics.
1.2 Wyapy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App solely for your internal business purposes during the Term of this Agreement.
1.3 You may not distribute, lease, rent, host, sublicense, transfer, sell, export, modify, reverse engineer, decompile, copy, benchmark, or create derivative works of the App. All rights not expressly granted are reserved.
1.4 The App may update automatically. Maintenance or updates may cause interruptions. You are responsible for any equipment and internet connectivity required.

2. Accounts

• You must provide accurate and complete information when registering.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• You must notify Wyapy of any unauthorized access or breach.

3. Fees and Subscriptions

• Certain features require a paid subscription. Fees are billed in advance and are non-refundable except as required by law.
• Payments are processed through third-party providers. You are responsible for any applicable sales or use taxes.
• You must report billing errors within 120 days of the error appearing.

4. Term, Suspension, and Termination

4.1 This Agreement begins when you first use the App and continues month-to-month until terminated.
4.2 Wyapy may suspend or terminate your access if you:

• Breach these Terms
• Fail to pay fees
• Misuse the App (fraud, abuse, unlawful activity)
• Exceed normal and reasonable usage
• Become insolvent or bankrupt
  4.3 You may cancel your account anytime, effective at the end of your billing period. Fees already paid are non-refundable.

5. Acceptable Use

You agree not to:

• Upload or distribute malicious code or harmful software.
• Harass, abuse, or harm other users.
• Send spam, unsolicited surveys, or fraudulent content.
• Collect personal data without proper legal basis or consent.
• Interfere with or disrupt the App’s normal operation.

Violation may result in suspension or permanent termination.

6. Confidentiality and Data

6.1 Each party agrees not to disclose the other’s non-public business or technical information (“Confidential Information”) except as permitted under this Agreement.
6.2 Wyapy may use anonymized and aggregated data for research, analytics, and improvement of the App, subject to applicable laws.
6.3 Our use of your or your consumers’ data is governed by our Privacy Policy.

7. Privacy and Compliance

7.1 Wyapy acts as a “Service Provider” or “Processor” under applicable privacy laws (including CCPA and GDPR). We will not sell customer or consumer data.
7.2 We process personal information only as necessary to provide the Services.
7.3 We will reasonably assist you in meeting your obligations under applicable privacy laws, including responding to data subject rights requests.
7.4 If Wyapy receives a data subject request directly, we will redirect the individual to you.

8. Intellectual Property

• Wyapy retains ownership of all software, trademarks, content, and related intellectual property.
• You may not copy, modify, or distribute any part of Wyapy without prior written consent.
• You retain ownership of your survey data and responses but grant us a license to use them as necessary to operate and improve the Services.

9. Risk Allocation, Indemnification, and Disclaimers

9.1 The App is provided “as is” and “as available,” without warranties of any kind, express or implied.
9.2 Wyapy disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, security, or uninterrupted operation.
9.3 To the maximum extent permitted by law, Wyapy is not liable for lost profits, indirect, incidental, or consequential damages.
9.4 Our total liability will not exceed the fees you paid to Wyapy in the 3 months before the claim.
9.5 You agree to indemnify and hold harmless Wyapy, its officers, employees, and affiliates from any third-party claims, damages, or expenses (including attorney’s fees) arising from your misuse of the App or your breach of these Terms.

10. Communications

You authorize Wyapy to contact you electronically (including email, SMS, or in-App notices). Carrier charges may apply.

11. Governing Law and Disputes

• This Agreement is governed by New York law, without regard to its conflicts of law provisions.
• The courts located in Suffolk County, New York shall have exclusive jurisdiction over any disputes arising out of or related to this Agreement.
• Both parties waive jury trial rights.

12. General

• You represent that you have authority to enter this Agreement.
• Wyapy may update these Terms and will notify you. Continued use after updates constitutes acceptance.
• If any provision is invalid, the rest remain in effect.
• You may not assign this Agreement without Wyapy’s written consent. Wyapy may assign without notice.
• This Agreement constitutes the entire agreement between us.
